Welcome to ISSA MATCHA! In these Terms of Service, “we,” “us,” and “our” refer to ISSA MATCHA!. ISSA MATCHA! operates this store and website and provides you with a curated shopping experience (the “Service”), including all related information, content, features, tools, products, and services. The Service is powered by Shopify.

These Terms of Service and any policies referenced herein (collectively, the “Terms”) describe your rights and responsibilities when you use the Service.

To use the Service (including accessing or browsing the online store, or purchasing products or services), you may be required to provide certain information, such as your email address, billing information, payment information, and shipping information. You represent and warrant that all information you provide to our store is accurate, current, complete, and that you have all rights necessary to provide such information.

You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You may not transfer, sell, assign, or license your account to any other person.

We make every effort to display our products and services as accurately as possible in our online store. However, depending on your device type and settings, the colors and appearance displayed on your screen may differ from the actual product.

We do not guarantee that the appearance or quality of any product or service you purchase will meet your expectations or match what is displayed in the online store.

Product descriptions may be changed at any time without notice, at our sole discretion. We reserve the right to discontinue any product at any time and may, on a case-by-case basis, limit the quantities of products we offer to any person, geographic region, or jurisdiction.

Section 3 — Orders

Placing an order constitutes an offer to purchase. ISSA MATCHA! reserves the right, in its sole discretion, to accept or reject any order for any reason. An order is not confirmed until ISSA MATCHA! confirms acceptance. We may need to receive and process your payment before accepting your order. Please review your order carefully before submitting it. After an order has been accepted, ISSA MATCHA! may not be able to accommodate cancellation requests.

If we do not accept an order, modify an order, or cancel an order, we will attempt to notify you by contacting the email address, billing address, and/or phone number provided at the time of order.

Returns or exchanges are handled only in accordance with our Refund Policy.

You represent and warrant that products purchased are for your personal or household use only, and not for resale or export for commercial purposes.

Section 4 — Pricing and Billing

Prices, discounts, and promotions may change without notice. The price of a product or service will be the price in effect at the time the order is placed and will be set out in your order confirmation email. Unless expressly stated otherwise, displayed prices do not include taxes, shipping, fees, customs duties, or import charges.

Prices displayed in our online store may differ from prices offered at physical retail locations or third-party stores. From time to time, we may offer promotions that affect pricing; such promotions may be governed by separate terms, and in the event of a conflict, the promotion terms will control.

You agree to provide current, complete, and accurate purchase, payment, and account information for all purchases made at our store. You agree to promptly update your email address and other account information so that we can complete your transactions and contact you as needed.

You represent and warrant that: (i) the payment information you provide is true, correct, and complete; (ii) you are authorized to use the payment method provided for the purchase; (iii) charges incurred by you will be honored by your payment provider; and (iv) you will pay all charges incurred, including any applicable taxes and shipping fees.

Taxes, Duties, and Import Fees (International Orders).
Unless expressly stated otherwise at checkout, prices and shipping charges do not include any import duties, customs fees, VAT/GST, brokerage fees, or other charges imposed by the destination country (“Import Charges”). You are responsible for all Import Charges and for complying with local import requirements. These charges are determined by local authorities and/or the carrier and are outside of our control.

If you fail to pay Import Charges, or if a shipment is refused, unclaimed, or returned due to customs clearance issues, we may be unable to issue a refund for the order, and shipping charges may be non-refundable (to the fullest extent permitted by law).

Section 5 — Shipping and Delivery

Shipping and delivery timeframes are estimates only and are not guaranteed. We are not responsible for delays caused by carriers, customs inspections/clearance, weather, local disruptions, or other circumstances beyond our control.

Title and risk of loss pass to you upon our delivery of the products to the carrier (to the fullest extent permitted by law).

Tracking. Where available, we will provide tracking information once the order ships. Carrier tracking updates may be delayed or intermittent.

Shipping Restrictions. We do not ship to P.O. boxes or APO/FPO addresses, and we may not be able to deliver to certain remote locations.

International Shipping and Customs. International shipments may be subject to customs processing and local import requirements. Customs authorities may hold, inspect, or delay shipments. We do not control these processes and cannot guarantee clearance times.

Duties/Taxes/VAT. Unless explicitly stated otherwise at checkout, shipments are sent duties and taxes unpaid. You are responsible for any Import Charges and any actions required to clear the shipment. Carriers may contact you to collect these charges prior to delivery.

Address Accuracy. You are responsible for providing a complete and accurate shipping address and contact information. If a package is returned to us or cannot be delivered due to an incorrect/incomplete address, refusal, or failure to collect from the carrier/customs, we may (at our discretion) reship the order at your expense or treat the order as undeliverable.

Refused / Unclaimed / Returned Shipments. If a shipment is refused, unclaimed, abandoned, or returned due to non-payment of Import Charges, customs issues, or delivery failure, we may be unable to refund the order. Where a refund is provided, shipping costs and return/handling fees may be deducted (to the fullest extent permitted by law).

Lost or Damaged Packages. If your package is marked delivered but not received, or arrives damaged, please contact us at contact@issamatcha.com within 7 days of the delivery date (or, if not delivered, within 7 days of the estimated delivery date) with your order number and supporting details (photos for damage). We will work with the carrier and determine, at our discretion, an appropriate resolution (replacement, store credit, or refund where applicable). Claims may be denied if carrier documentation is unavailable or if notice is not provided within the timeframe above.

Section 6 — Intellectual Property

The Service (including but not limited to trademarks, branding, text, displays, images, graphics, product reviews, video and audio, and the design, selection, and arrangement thereof) is owned by ISSA MATCHA! and/or its affiliates or licensors and is protected by Japanese and foreign patent, copyright, and other intellectual property laws.

These Terms permit you to use the Service for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the content on our Service without our prior written consent.

Except as expressly provided in these Terms, nothing herein grants you any license or rights in any patents, trademarks, copyrights, or other intellectual property of ISSA MATCHA!, Shopify, or any third party. Unauthorized use of the Service may violate applicable intellectual property laws. All rights not expressly granted are reserved by ISSA MATCHA!.

“ISSA MATCHA!” and its name, logo, product and service names, designs, and slogans are trademarks of ISSA MATCHA! or its affiliates or licensors. You must not use such marks without our prior written permission. Shopify’s name, logo, product and service names, designs, and slogans are trademarks of Shopify. All other names, logos, product and service names, designs, and slogans on the Service are the trademarks of their respective owners.

Section 7 — Optional Tools

We may provide access to third-party tools as part of the Service, but we do not monitor or control them and do not have any input into their content.

You acknowledge and agree that we provide access to such tools “as is” and “as available,” without warranties, representations, or conditions of any kind and without endorsement. We shall have no liability arising from or relating to your use of optional third-party tools.

Your use of any optional tools offered through the site is entirely at your own risk and discretion. You should ensure you understand and agree to the terms on which such tools are provided by the relevant third party.

We may also offer new features through the Service (including the release of new tools and resources). Such new features shall be considered part of the Service and subject to these Terms.

The Service may contain materials or hyperlinks to third-party websites (including embedded third-party functionality). We are not responsible for examining or evaluating the content or accuracy of third-party materials or websites. If you leave the Service to access third-party materials or websites, you do so at your own risk.

We are not liable for any damages or harm related to your access to third-party websites, or the purchase or use of goods, services, resources, content, or other transactions made in connection with any third-party websites. Please review third-party policies carefully before engaging in any transaction. Complaints, claims, concerns, or questions regarding third-party products should be directed to the third party.

Section 9 — Relationship with Shopify

The Service is powered by Shopify, and Shopify provides the platform that allows us to sell our products and services to you. However, any purchase and sale you make on our store is directly between you and ISSA MATCHA!. By using the Service, you acknowledge and agree that Shopify is not responsible for any aspect of the purchase and sale between you and ISSA MATCHA! (including any injuries or damages resulting from products or services purchased). You expressly release Shopify and its affiliates from any and all claims, damages, and liabilities arising from or related to your purchases and transactions with ISSA MATCHA!.

All personal information we collect through the Service is subject to our Privacy Policy. Some personal information may also be subject to Shopify’s privacy practices. By using the Service, you acknowledge that you have read and understood the applicable privacy policies.

Information you submit to the Service may be shared with and transmitted to Shopify and third parties that may be located outside your country of residence, for the purpose of providing the Service.

You agree that your Feedback will not violate any rights of any third party, including copyright, trademark, privacy, publicity, or other personal or proprietary rights. You further agree that your Feedback will not contain defamatory, unlawful, abusive, or obscene material, or contain any computer virus or other malware that could affect the operation of the Service or any related website.

Section 12 — Errors, Inaccuracies, and Omissions

Occasionally there may be information on the Service that contains typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, offers, shipping charges, delivery times, and availability. We reserve the right to correct any errors, inaccuracies, or omissions, to change or update information, or to cancel orders if any information on the Service is inaccurate, at any time without prior notice (including after you have submitted your order).

Section 13 — Prohibited Uses

You may access and use the Service only for lawful purposes. You must not access or use the Service, directly or indirectly, for any unlawful purpose, to violate any laws or regulations, to infringe intellectual property rights, to submit false information, to spam, to impersonate others, to scrape/crawl the Service, to interfere with security features, or to transmit malware.

If we determine, in our sole discretion, that you have violated any provision of these Terms, we may suspend, disable, or terminate your account without notice.

We may terminate this agreement or your access to the Service (or any part thereof) at any time, without notice, in our sole discretion. You remain responsible for all amounts due up to and including the date of termination.

The following provisions survive termination: Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver, Entire Agreement, Assignment, Governing Law, Privacy Policy, and any other provisions which by their nature should survive termination.

Some jurisdictions do not allow limitations on implied warranties or the exclusion of certain warranties, so some of the above disclaimers may not apply to you.

To the fullest extent permitted by law, in no event shall ISSA MATCHA!, our partners, directors, officers, employees, affiliates, agents, contractors, service providers, licensors, and Shopify and its affiliates be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind arising from your use of the Service or any products obtained through the Service.

These Terms and any policies or operating rules posted by us on the site or in respect to the Service constitute the entire agreement and understanding between you and us and govern your use of the Service.

You may not assign, transfer, or delegate any of your rights or obligations under these Terms without our prior written consent. Any attempt to do so will be null and void. We may assign, transfer, or delegate these Terms and our rights and obligations without your consent or notice.

Section 21 — Governing Law (Japan)

These Terms and any separate agreements whereby we provide you the Service shall be governed by and construed in accordance with the laws of Japan, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms, the Service, or any products purchased through the Service shall be subject to the exclusive jurisdiction of the Tokyo District Court (Tokyo, Japan) as the court of first instance.

Headings used in these Terms are for convenience only and do not affect the interpretation of these Terms.

We reserve the right, in our sole discretion, to update, change, or replace any part of these Terms by posting updates and changes on our website. Where required by applicable law, we will provide notice of material changes. Your continued use of or access to the Service following the posting of any changes constitutes acceptance of those changes.

2) REFUND POLICY (Food-Friendly, International-Aware) (Copy & Paste)

Refund Policy

We want you to be happy with your order. Because our products are food items, we follow the policy below to ensure safety and quality.

Returns & Eligibility

We accept return requests within 7 days of delivery only for unopened, unused products in their original packaging and in resalable condition.

To start a return request, please contact contact@issamatcha.com with your order number and the reason for your request.

Non-Returnable Items

For food safety reasons, we do not accept returns or exchanges for:

  • Opened or used products

  • Products with broken seals or damaged packaging after delivery

  • Items returned without prior approval

  • Gift cards and final sale items (if applicable)

Damaged, Wrong, or Defective Items

Please inspect your order upon delivery. If your item is defective, damaged, or you received the wrong item, contact us at contact@issamatcha.com within 7 days of delivery and include:

  • Your order number

  • A clear photo of the issue (outer box + product)
    We will evaluate the issue and, at our discretion, provide an appropriate resolution such as a replacement, store credit, or a refund where applicable.

International Orders — Duties/Taxes & Undeliverable Packages

For international shipments, import duties, taxes (including VAT/GST), customs fees, and brokerage fees are the customer’s responsibility unless explicitly stated otherwise at checkout.

If a shipment is refused, unclaimed, abandoned, or returned due to:

  • Non-payment of import duties/taxes/fees (Import Charges),

  • Failure to complete customs clearance,

  • Delivery failure due to an incorrect/incomplete address, or

  • Failure to collect the package from the carrier/customs,

then the order may be considered undeliverable and we may be unable to provide a refund.
If a refund is issued, shipping costs and any return/handling fees may be deducted (to the fullest extent permitted by law).

Return Shipping (If Approved)

If your return request is approved, we will provide instructions for how and where to send your return. Unless the return is due to our error (wrong item or verified defect/damage), the customer is responsible for return shipping costs.

Refunds

If your return is approved and received, we will inspect the item and notify you of the approval or rejection of your refund.

If approved, your refund will be processed to the original payment method within 10 business days. Please note that it may take additional time for your bank or card issuer to post the refund.
